H2 Sustainable Hospitality Toolbox Terms & Conditions

Effective Date: 25 July 2026

 

1. Introduction

These Terms and Conditions (“Terms”) govern access to and use of the H2 Sustainable Hospitality Toolbox (the “Toolbox”), a subscription platform owned and operated by H2 Sustainability Consulting (“H2”, “we”, “us”, or “our”), founded by Hervé Houdré. The Toolbox provides sustainability guidance, resources, and advisory tools to hospitality professionals worldwide, structured around the H2 AEQUOR method.

These Terms apply together with the Subscription Terms, Intellectual Property & Acceptable Use Policy, Privacy Policy, and Disclaimer (together, the “Toolbox Policies”), each of which is incorporated into these Terms by reference. Section 22 (Order of Precedence) explains how these documents interact if a conflict arises.

 

2. Definitions

  • “Content” means all materials made available through the Toolbox, including Essentials documents, Guidelines documents, H2 Prism Briefs, templates, checklists, frameworks, roadmaps, graphics, illustrations, videos, and any future materials H2 makes available.
  • “Member” or “Subscriber” means any individual or entity that accesses or uses the Toolbox, whether or not a paid subscription is currently active, including during any trial period or while payment is pending. This ensures these Terms and the Toolbox Policies apply from the moment of first access.
  • “Subscription Level” means each of the three membership tiers described in Section 6: Sustainability Access, Sustainability Framework, and Sustainability Partnership.
  • “AEQUOR Advisory” means the interactive advisory feature described in Section 10.
  • “Platform” means the website located at h2sustainabilityconsulting.com and any associated member area, account portal, or application through which the Toolbox is delivered.
  • “Corporate Account” means a subscription held by, or used on behalf of, a company, hotel group, or other organisation, including where multiple individual users access the Toolbox under that organisation’s subscription.

 

3. Acceptance of Terms

By creating an account, subscribing to any Subscription Level, or otherwise accessing or using the Toolbox, you confirm that you have read, understood, and agree to be bound by these Terms and the Toolbox Policies. If you do not agree, you must not access or use the Toolbox.

If you are accepting these Terms on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation, and “you” in these Terms refers to that organisation as well as to you individually.

 

4. Eligibility

The Toolbox is intended for hospitality professionals, including hoteliers, general managers, engineers, sustainability officers, corporate sustainability executives, owners, developers, and (where separately agreed) approved vendors. You must be at least 18 years old and capable of forming a binding contract in your jurisdiction to subscribe.

H2 reserves the right to decline, suspend, or terminate access for any applicant or Member at its reasonable discretion, including where H2 believes the Toolbox is being accessed for purposes inconsistent with its intended professional use.

 

5. Description of the H2 Sustainable Hospitality Toolbox

The Toolbox is a practical, expert-developed platform designed to support hotel owners, operators, and project teams in building and operating more sustainable, efficient, and future-ready hospitality assets. It is structured around five pillars: Sustainability Management, Social Responsibility, Cultural Heritage, Environmental Protection, and Responsible Sourcing & Procurement, and is powered by the H2 AEQUOR method.

H2 may add, remove, update, or modify Content, features, and functionality of the Toolbox from time to time, in each case with the aim of improving the service. Where a change materially reduces the Content or functionality available at a given Subscription Level, H2 will provide at least fourteen (14) days’ notice. Adding new Content, or routinely updating, replacing, or refreshing existing Content, does not require notice, provided the overall value of the Subscription Level remains substantially the same.

 

6. Subscription Levels

The Toolbox is offered at three Subscription Levels: Sustainability Access, Sustainability Framework, and Sustainability Partnership. The current scope of each Subscription Level, including pricing, is set out on the Platform and in the Subscription Terms, which are incorporated into these Terms by reference. Pricing and scope displayed on the Platform are provided for information and do not constitute a binding offer; the price and scope actually confirmed to a Member at checkout, or set out in the Subscription Terms, governs in the event of any discrepancy (for example, arising from a display error or stale cached page), except where H2 has agreed different terms with a Member in writing.

Sustainability Partnership is provided under a separate consulting agreement negotiated directly with H2, and is not governed by the online sign-up flow used for Sustainability Access and Sustainability Framework.

 

7. User Accounts

To access the Toolbox, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You are responsible for using a strong, unique password meeting any then-current complexity requirements published by H2, and must not use automated scripts, bots, or similar tools to access your account or the Toolbox.

You must notify H2 promptly at herve@houdre.com if you become aware of any unauthorised use of your account. H2 is not liable for any loss arising from unauthorised use of an account unless caused by H2’s own wilful misconduct.

Accounts are personal to the Member (or, for a Corporate Account, to the named authorised users of that organisation) and may not be shared with, transferred to, or used by any third party except as expressly permitted under a Corporate Account arrangement agreed in writing with H2.

 

8. Permitted Use

Subject to these Terms, H2 grants each Member a right to access and use the Toolbox and Content for their own internal, professional purposes in connection with the operation, development, or advisory oversight of hospitality assets. Detailed permitted and prohibited uses of Content are set out in the Intellectual Property & Acceptable Use Policy, which forms part of these Terms.

 

9. Intellectual Property

9.1 Ownership

All Content, together with the H2 Sustainable Hospitality Toolbox name, the H2 AEQUOR method and mark, Value-Driven Sustainability, AEQUOR Advisory, and all related trademarks, logos, and materials, are owned by H2 or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of any intellectual property to any Member.

 

9.2 Licence Granted

H2 grants each Member a limited, non-exclusive, non-transferable, non-sublicensable licence, personal to that Member, to access and use the Content solely as permitted under the Intellectual Property & Acceptable Use Policy and for the duration of an active subscription. Being personal to the Member, this licence does not permit sharing of login credentials with, or use of the account by, any other individual, except for named users under an agreed Corporate Account. This licence terminates automatically on expiry, cancellation, or termination of the relevant subscription.

 

9.3 Restrictions on Use

Except as expressly permitted, Members must not copy, redistribute, resell, sublicense, publish, post online, upload to any shared drive or intranet, or otherwise make Content available to any third party, whether or not for commercial gain. Full detail is set out in the Intellectual Property & Acceptable Use Policy.

 

9.4 AI and Machine Learning Restrictions

Members must not use any Content to train, fine-tune, prompt, benchmark, or otherwise develop any artificial intelligence (AI) or machine learning model or system, whether by direct upload, application programming interface (API), bulk extraction, or any other means, and regardless of whether the AI system is public, private, or a member’s own enterprise instance. This restriction applies regardless of whether the resulting model is used commercially or internally.

Each Member acknowledges that a breach of this Section 9.4 may cause H2 immediate and irreparable harm that could be difficult to fully remedy through monetary damages alone, and that H2 may accordingly seek injunctive relief to prevent or stop such a breach, in addition to any other remedy available at law.

 

10. AEQUOR Advisory

AEQUOR Advisory allows Members to submit questions and receive structured guidance based on the H2 AEQUOR method, up to the monthly allowance included in their Subscription Level. Responses are general professional guidance based on the information provided by the Member and are not a substitute for a site-specific assessment, and do not constitute legal, engineering, architectural, accounting, tax, or regulatory advice.

H2 does not warrant that AEQUOR Advisory responses will be error-free or complete. Members remain solely responsible for verifying any guidance received against applicable local laws, codes, and regulations, and for any decisions made in reliance on it. Unused monthly allowances do not carry over to subsequent months unless expressly stated otherwise on the Platform.

 

11. External Resources

The Toolbox may reference or link to third-party websites, standards, certification bodies, or resources for convenience. H2 does not control and is not responsible for the content, accuracy, or availability of external resources, and inclusion of a link or reference does not imply endorsement.

 

12. Payments

Subscription fees are set out in US$ on the Platform and are payable in advance, monthly or annually depending on the option selected, by the payment methods made available at checkout. Fees are processed by a third-party payment processor; H2 does not directly store full payment card details.

All fees are exclusive of applicable taxes, duties, and levies, which will be added where required by law. H2 reserves the right to change Subscription Level pricing on a prospective basis, for new and existing Members, with notice provided in accordance with Section 24 before any change applies to a Member’s next renewal.

Overdue amounts may accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, if lower), and H2 may recover reasonable costs of collection, including legal fees, incurred in recovering unpaid fees.

 

13. Refunds

Except as required by applicable law or as expressly set out below, subscription fees are non-refundable once a billing period has commenced, reflecting the immediate availability of digital Content upon subscription. This position has been confirmed as enforceable, provided the checkout process obtains the Member’s express consent to immediate access and acknowledgment of the loss of any statutory withdrawal right, and H2 provides confirmation of this on a durable medium (such as the subscription confirmation email). No first-billing-cycle carve-out is required once this consent is properly obtained.

For Members located in the European Union (EU), United Kingdom (UK), or other jurisdictions granting a statutory right of withdrawal for digital content, that right ends once performance has begun, provided H2 has obtained the Member’s prior express consent to immediate access and their acknowledgment that they lose the right of withdrawal once access begins. H2 will obtain this consent and acknowledgment via a separate checkbox at checkout, distinct from general acceptance of these Terms.

Where H2 has materially failed to provide access to a Subscription Level’s core Content for reasons within H2’s control, H2 may, at its discretion, issue a partial or full refund or service credit for the affected period.

 

14. Renewals

Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) at the then-current price for the relevant Subscription Level, unless cancelled in accordance with Section 15 before the renewal date. H2 will make reasonable efforts to notify Members in advance of any price change taking effect at renewal.

 

15. Cancellation and Downgrades

Members may cancel their subscription at any time through their account settings or by written request to herve@houdre.com. Cancellation takes effect at the end of the current billing period; access to the Toolbox continues until that date, and no partial-period refund is issued except as set out in Section 13.

Members on Sustainability Framework may downgrade to Sustainability Access by giving at least fourteen (14) days’ notice before the end of the current billing period, with the downgrade effective from the next billing period. Where a downgrade occurs mid-cycle, any Sustainability Framework services already scheduled or in progress for that billing period (such as a monthly advisory session or roadmap support work) will be completed or, at H2’s discretion, an equivalent credit applied; ongoing multi-month roadmap engagements will be assessed on a case-by-case basis and, where applicable, brought to a natural stopping point rather than left incomplete.

 

16. Suspension or Termination

H2 may suspend or terminate a Member’s access to the Toolbox, with or without notice, if the Member breaches these Terms or the Toolbox Policies, including any breach of the Intellectual Property & Acceptable Use Policy, fails to pay applicable fees, or uses the Toolbox in a manner that H2 reasonably believes poses a risk to H2, other Members, or third parties.

On termination for breach, no refund of fees already paid will be issued, without prejudice to any other remedies available to H2.

 

17. Force Majeure

H2 is not liable for any failure or delay in providing the Toolbox caused by circumstances beyond its reasonable control, including internet or cloud service provider outages, widespread infrastructure failures, natural disasters, acts of government, labour disputes, or other events of force majeure. H2 will make reasonable efforts to resume normal service as soon as practicable.

 

18. Corporate, Enterprise, and Data Processing Arrangements

Sustainability Framework may be deployed at portfolio level through a tailored Enterprise structure, and Sustainability Partnership is provided under a separate consulting agreement, in each case as agreed directly with H2.

Where a Corporate Account’s use of the Toolbox involves H2 processing personal data on behalf of that organisation in a manner that requires a data processing agreement under applicable law (including the General Data Protection Regulation (GDPR) or the UK GDPR), H2 will provide a data processing addendum on reasonable request. Absent such an addendum, the Privacy Policy governs H2’s handling of personal data.

 

19. Disclaimers

The Toolbox and all Content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including as to accuracy, completeness, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. Further detail is set out in the Disclaimer document, which is incorporated into these Terms by reference.

Nothing in the Toolbox constitutes legal, engineering, architectural, accounting, tax, environmental compliance, or regulatory advice, and no Content guarantees any certification, return on investment, cost saving, Environmental, Social and Governance (ESG) score, or regulatory compliance outcome.

 

20. Limitation of Liability

To the maximum extent permitted by applicable law, H2’s total aggregate liability to a Member arising out of or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the lesser of (a) the applicable cap for that Member’s Subscription Level — US$2,500 for Sustainability Framework and Sustainability Partnership, or US$500 for Sustainability Access — or (b) the total fees paid by that Member to H2 in the twelve (12) months preceding the event giving rise to the claim.

To the maximum extent permitted by applicable law, H2 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Toolbox.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, wilful, wanton, or intentional misconduct, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law. This tiered cap structure and these carve-outs have been confirmed as enforceable under Delaware law for B2B contracts by H2’s counsel.

 

21. Indemnification

Each Member agrees to indemnify and hold harmless H2, its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of that Member’s breach of these Terms, misuse of the Content, or violation of applicable law, except to the extent caused by H2’s own negligence or wilful misconduct.

 

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States (US), without regard to its conflict of laws principles, consistent with H2’s state of incorporation.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be resolved as follows. The parties shall first attempt in good faith to resolve any dispute promptly through negotiation between executives or individuals who have authority to settle the matter. If not resolved within thirty (30) days, the parties may, by mutual agreement, attempt to settle the dispute by mediation before proceeding further. Any dispute not resolved through negotiation or mediation within sixty (60) days of the initial notice of dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, seated in Wilmington, Delaware, rather than through court litigation. This pairing of Delaware governing law, a Wilmington seat, and AAA arbitration has been confirmed by H2’s counsel as a robust, standard choice for a Delaware-incorporated entity, with AAA awards generally enforceable across borders under the New York Convention.

 

23. Order of Precedence

These Terms and the Toolbox Policies together form the entire agreement between H2 and each Member regarding use of the Toolbox, and supersede any prior agreements or understandings. If there is a conflict between these Terms and any Toolbox Policy on a given point, these Terms govern, except that: (a) the Subscription Terms govern the specific scope of each Subscription Level; and (b) a separate signed consulting agreement for Sustainability Partnership governs in place of these Terms to the extent of any conflict.

 

24. Changes to Terms

H2 may update these Terms from time to time to reflect changes to the Toolbox, legal or regulatory requirements, or business practice. H2 will post the updated Terms on the Platform with a revised effective date and, for material changes, will make reasonable efforts to notify active Members (for example by email) at least thirty (30) days before the change takes effect. Continued use of the Toolbox after that date constitutes acceptance of the updated Terms.

H2 Sustainable Hospitality Toolbox Subscription Terms

1. Purpose of this Document

These Subscription Terms describe, in practical terms, exactly what is included in each Subscription Level of the H2 Sustainable Hospitality Toolbox (the “Toolbox”), how billing works, and how Members can change or end their subscription. These Subscription Terms are incorporated by reference into, and form part of, the Terms and Conditions (Master Agreement), which govern the Toolbox as a whole. Where these Subscription Terms describe the scope of a Subscription Level, they take precedence over the Terms and Conditions on that specific point, as set out in the Terms and Conditions’ Order of Precedence clause.

 

2. Subscription Levels at a Glance

The Toolbox is offered at three Subscription Levels: Sustainability Access, Sustainability Framework, and Sustainability Partnership. Each is described in detail below. Sustainability Access and Sustainability Framework can be subscribed to directly on the Platform; Sustainability Partnership is arranged directly with H2 under a separate consulting agreement.

 

3. Sustainability Access

US$55/month, or US$594/annual (a 10% saving against the monthly rate).

Designed for hospitality professionals seeking practical sustainability guidance and resources, whether beginning or advancing their sustainability journey. Includes:

  • H2 Prism Briefs — insight notes on current sustainability topics, published every two weeks, available exclusively to active Members
  • Up to 2 AEQUOR Advisory questions per month (non-cumulative — see Section 8)
  • Access to the Toolbox resource library
  • Practical guides and operational recommendations
  • Sustainability news and insights
  • Templates, checklists, and reference materials

 

4. Sustainability Framework

US$375/month, or US$4,050/annual (a 10% saving against the monthly rate).

Designed for hotels and resorts looking to move from ideas to implementation with expert support. Includes everything in Sustainability Access, plus:

  • Up to 10 AEQUOR Advisory questions per month (non-cumulative — see Section 8)
  • A monthly advisory session, or equivalent support time
  • Sustainability Roadmap development support
  • The AEQUOR sustainability implementation framework
  • Priority-setting and action planning guidance
  • An expanded resource library and implementation tools
  • Access to selected case studies and best practices

 

4.1 Enterprise Deployment

For hotel groups and multi-property owners, Sustainability Framework can be deployed at portfolio level through a tailored Enterprise structure, ensuring consistency and efficiency across multiple properties. Enterprise pricing, user allowances, and scope are agreed directly with H2 and set out in a separate written order or agreement, which forms part of that Member’s subscription arrangement alongside these Subscription Terms.

 

5. Sustainability Partnership

Available by direct arrangement with H2; pricing provided on request following an initial conversation. Designed for independent hotels, hotel groups, ownership companies, developers, and hospitality organisations seeking strategic support, including:

  • A customised sustainability strategy
  • Portfolio-wide guidance
  • Executive and ownership advisory support
  • Responsible Hospitality programme alignment
  • Procurement and sourcing guidance
  • Team training and workshops
  • Priority access to expert support

Sustainability Partnership is delivered on a fully remote basis and is governed by a separate signed consulting agreement between H2 and the client, rather than by the online subscription flow used for Sustainability Access and Sustainability Framework. Where a conflict arises between that consulting agreement and these Subscription Terms, the signed consulting agreement governs.

 

6. Billing Cycles and Pricing

Sustainability Access and Sustainability Framework may each be billed monthly or annually, as selected by the Member at sign-up. All pricing is shown in US$ on the Platform. Annual billing is offered at a discount to the equivalent monthly cost, as shown at checkout and in Sections 3 and 4 above.

Subscriptions renew automatically at the end of each billing period at the then-current price for the relevant Subscription Level, in accordance with the Terms and Conditions. H2 reserves the right to adjust Subscription Level pricing at any time for new subscribers, and for existing Members upon their next renewal, with notice provided in advance as set out in the Terms and Conditions.

 

6.1 Right to Suspend for Non-Payment

If a payment fails or a Member’s account falls into arrears, H2 may immediately suspend access to the Toolbox until payment is resolved, as a faster and more flexible alternative to outright termination. Continued non-payment may lead to termination in accordance with the Terms and Conditions.

 

7. Upgrades

A Member on Sustainability Access may upgrade to Sustainability Framework at any time. Where reasonably practicable, H2 will apply the upgraded Subscription Level from the Member’s next billing date, and may, at its discretion, apply a pro-rated charge for the remainder of the current billing period so that the upgraded benefits are available immediately rather than only from the next renewal.

 

8. Downgrades and Non-Cumulative Allowances

A Member on Sustainability Framework may downgrade to Sustainability Access by giving at least fourteen (14) days’ notice before the end of the current billing period, effective from the next billing period, subject to the mid-cycle handling of any in-progress Framework-level services described in the Terms and Conditions.

AEQUOR Advisory question allowances (2 per month for Sustainability Access, 10 per month for Sustainability Framework) are non-cumulative: unused questions do not carry over to the following month, and do not increase in a later month to compensate for a month in which fewer questions than the allowance were used. To ensure fair access to advisory support for all Members, H2 may ask a Member to pace their questions reasonably across the month rather than submitting the full monthly allowance at once, particularly where doing so would affect H2’s ability to respond to other Members in a timely manner.

 

9. Cancellation

Members may cancel at any time as described in the Terms and Conditions. Cancellation takes effect at the end of the current billing period, and access continues until that date. Refunds are handled as set out in the Terms and Conditions.

 

10. Changes to Subscription Level Scope

H2 may, from time to time, refine or expand what is included within a given Subscription Level, for example by adding new templates, resources, or features. Where H2 removes or materially reduces a benefit that is a core, named component of a Subscription Level a Member is actively subscribed to (for example, the monthly AEQUOR Advisory allowance or the frequency of H2 Prism Briefs), H2 will provide at least fourteen (14) days’ notice, in accordance with the Terms and Conditions. H2 may discontinue or replace an individual resource, template, or guide without notice, provided the overall value of the Subscription Level remains substantially the same.

H2 Sustainable Hospitality Toolbox Privacy Policy

1. Introduction and Scope

This Privacy Policy explains how H2 Sustainability Consulting (“H2”, “we”, “us”, or “our”) collects, uses, shares, and protects personal information in connection with the H2 Sustainable Hospitality Toolbox (the “Toolbox”), the website at h2sustainabilityconsulting.com (the “Platform”), and related communications. It applies to visitors, prospective Members, active Members, and individuals who contact us, regardless of location.

This Policy is incorporated by reference into, and forms part of, the Terms and Conditions (Master Agreement).

 

2. Who We Are

H2 Sustainability Consulting, founded by Hervé Houdré, is the data controller responsible for personal information processed in connection with the Toolbox and Platform, unless otherwise stated (for example, where a Corporate Account subscriber is itself the controller of its own employees’ data, as described in Section 12).

EU/UK Representative: to be appointed upon H2’s first EU/UK Member sign-up. H2 offers the Toolbox to, and monitors the behaviour of, individuals in the EU and UK, and will appoint a formal EU/UK representative as required under GDPR/UK GDPR Article 27 at that point, consistent with a pragmatic, risk-based approach confirmed with counsel for an early-stage business with no current EU/UK Members. H2 has also conducted a threshold assessment regarding whether a Data Protection Officer (DPO) is required under Article 37; that assessment is documented internally and available to regulators on request.

 

3. Personal Information We Collect

We collect the following categories of personal information:

  • Account information: name, email address, job title, company/property name, country, and password (stored in encrypted form)
  • Subscription and billing information: Subscription Level, billing address, and transaction history. Full payment card details are collected and stored by our payment processor, not by H2 directly (see Section 7)
  • Content you submit: questions and information you provide through AEQUOR Advisory, and any correspondence you send us
  • Usage data: pages visited, features used, log-in times, and general engagement with the Toolbox, collected automatically
  • Technical data: IP (Internet Protocol) address, browser type, device type, and similar technical identifiers, collected automatically
  • Marketing preferences: whether you have opted in or out of marketing communications
  • Professional credentials or certifications, where voluntarily provided for verification purposes
  • Any other information you voluntarily provide in free-text fields, such as AEQUOR Advisory questions or correspondence

We do not intentionally collect special categories of personal information (such as health data, racial or ethnic origin, or religious beliefs) and ask that you do not include such information in any AEQUOR Advisory question or correspondence. If such information is submitted without having been requested by H2, H2 reserves the right to delete it.

 

4. How We Use Personal Information

We use personal information to:

  • Create and administer your account and provide the Toolbox
  • Process payments and manage billing, renewals, and cancellations
  • Respond to AEQUOR Advisory questions and support requests
  • Send service communications (for example, billing notices, renewal reminders, and policy updates)
  • Send marketing communications, including H2 Prism Briefs previews and Toolbox updates, where you have opted in or as otherwise permitted by law, and always with an option to opt out
  • Maintain the security of the Platform and detect or prevent misuse, including unauthorised use of Content under the Intellectual Property & Acceptable Use Policy
  • Understand how the Toolbox is used, in order to improve it
  • Comply with legal obligations, including tax and accounting requirements
  • Create anonymised, aggregated insights and examples — for instance, general patterns drawn from AEQUOR Advisory questions, such as illustrative return on investment (ROI) calculations or common sustainability challenges — for use in H2 Prism Briefs, case studies, or other Toolbox Content

Where H2 does this, information is anonymised so that it can no longer reasonably be used to identify you or your property before it is used in this way; H2 does not publish or share identifiable details of a Member’s specific question or property without separate consent. If you would prefer your AEQUOR Advisory questions not be used to inform anonymised, aggregated examples of this kind, contact herve@houdre.com and H2 will exclude your account from this use.

As required under the Connecticut Data Privacy Act (CTDPA): H2 does not use Member personal information, including AEQUOR Advisory questions, to train, fine-tune, or otherwise develop any artificial intelligence (AI) or large language model (LLM). If this changes in future, H2 will update this Policy and provide a clear opt-out mechanism before doing so.

 

5. Legal Bases for Processing

For individuals in the European Union (EU) and United Kingdom (UK), we rely on the following legal bases under the GDPR / UK GDPR:

  • Performance of a contract — to create your account, provide the Toolbox, and process payments
  • Legitimate interests — to maintain security, prevent misuse, improve the Toolbox, support business development and internal administration, and protect H2’s intellectual property rights, in each case balanced against your rights and interests
  • Consent — for marketing communications and non-essential cookies, which you may withdraw at any time
  • Legal obligation — where processing is required to comply with applicable law, such as tax record-keeping

 

6. Cookies and Similar Technologies

The Platform uses cookies and similar technologies to operate securely, remember your preferences, and understand usage patterns. We use the following categories:

  • Essential cookies — required for the Platform and account log-in to function, and which cannot be disabled
  • Analytics cookies — help us understand how the Toolbox is used, so we can improve it (see Section 8)
  • Marketing cookies — used only where you have consented, to measure the effectiveness of marketing communications

H2 does not currently use analytics or marketing cookies. The Platform uses only strictly necessary cookies, which are exempt from consent requirements under applicable law. If H2 introduces analytics or marketing cookies in future, this Policy will be updated and a cookie consent banner will be implemented to obtain affirmative opt-in consent before any such cookies are set.

 

7. Payment Processing

Subscription payments are processed by third-party payment processors — currently Stripe and PayPal, with the Member choosing which to use at checkout. Whichever processor a Member selects collects and stores their full payment card or account details directly, under that processor’s own privacy policy and security standards (including Payment Card Industry Data Security Standard (PCI DSS) compliance). H2 receives confirmation of payment and limited transaction information, but does not directly store full card numbers. H2’s agreements with its payment processors include appropriate contractual protections addressing responsibility in the event of a breach on a processor’s systems.

 

8. Analytics

H2 does not currently use third-party analytics tools (such as Google Analytics). The Platform’s membership system tracks which Content a Member has downloaded, as ordinary account and usage data used to support Members and understand engagement with the Toolbox; this is not third-party behavioural tracking and does not involve cookies beyond those described in Section 6. If H2 introduces analytics tools in future, this Policy will be updated accordingly.

 

9. Marketing Communications

If you have opted in to marketing communications, we may email you with H2 Prism Brief previews, Toolbox updates, and relevant sustainability insights. You may opt out at any time using the unsubscribe link in any marketing email, or by contacting herve@houdre.com. Opting out of marketing does not affect service communications necessary for your subscription (such as billing notices), which continue for the duration of an active subscription.

 

10. Data Sharing and Third Parties

We share personal information only as necessary, with:

  • Payment processors, to process subscription payments
  • Hosting, email, and analytics service providers, to operate the Platform and communicate with Members
  • Professional advisers (for example, accountants or lawyers), where necessary for our legitimate business purposes
  • Regulators or authorities, where required by law
  • A successor entity, in the event of a merger, acquisition, or sale of all or part of H2’s business, subject to that entity continuing to protect personal information in a manner consistent with this Policy

We do not sell personal information to third parties for their own independent marketing purposes. Service providers listed above receive personal information solely to perform services on H2’s behalf, for H2’s business purposes, and not in exchange for valuable consideration paid to H2, which is not a “sale” under CCPA. As H2 does not use ad pixels or behavioural advertising, and will disable advertising features in any future analytics tool, H2 does not “sell” or “share” personal information as defined by the CCPA/CPRA, and the “Do Not Sell or Share My Personal Information” opt-out link is not required. H2’s contracts with service providers (such as hosting and analytics providers) include service-provider language restricting them from using personal information for any purpose other than performing services for H2, to maintain this position.

 

11. International Data Transfers

H2 is based in the US, and personal information may be transferred to, stored, and processed in the US and other countries where H2 or its service providers operate. Where personal information is transferred from the EU, UK, or other jurisdictions with data transfer restrictions, H2 will use appropriate safeguards required by law, such as Standard Contractual Clauses, supported by a transfer impact assessment. H2 is evaluating certification under the EU-US Data Privacy Framework (DPF) to further simplify these transfers.

 

12. Corporate Accounts

Where an organisation holds a Corporate Account and its employees or representatives are given individual log-ins, that organisation may itself act as a data controller in respect of its employees’ use of the Toolbox, with H2 acting as a data processor for certain data. Where a data processing addendum (DPA) is required, H2 will provide its own standard-form DPA on request, as set out in the Terms and Conditions, rather than executing a Corporate Account’s own DPA template.

 

13. Data Retention

We retain personal information for as long as your account is active, and generally as follows afterwards: account information for 12 months post-cancellation, to support Members who cancel during the off-season and return the following year, consistent with the seasonal nature of hospitality operations; and billing and transaction records for 7 years post-cancellation, to comply with tax and accounting obligations. These periods have been confirmed with H2’s accountant and legal counsel. Where information is no longer needed for these purposes, we will delete or anonymise it.

 

14. Your Rights

14.1 Rights for EU/UK Individuals (GDPR)

Subject to applicable conditions and exceptions, you have the right to: access the personal information we hold about you; request correction of inaccurate information; request erasure (“the right to be forgotten”); request restriction of processing; object to processing based on legitimate interests or for direct marketing; request data portability; and lodge a complaint with your local data protection authority.

 

14.2 Rights for California Residents (CCPA)

Subject to applicable conditions and exceptions, California residents have the right to: know what personal information we collect, use, and disclose; request deletion of personal information; correct inaccurate personal information; opt out of the sale or sharing of personal information (see Section 10); and not be discriminated against for exercising these rights.

 

14.3 Rights for Connecticut Residents (CTDPA)

As H2 is based in Connecticut, we specifically note that Connecticut residents have rights under the Connecticut Data Privacy Act (CTDPA), including the right to: access, correct, and delete personal information; obtain a portable copy of your data; and opt out of targeted advertising, the sale of personal information, and profiling in furtherance of decisions that produce legal or similarly significant effects.

 

14.4 How to Exercise Your Rights

To exercise any of these rights, including a deletion request, contact herve@houdre.com. We will respond within the timeframe required by applicable law (generally 30 days for GDPR requests and 45 days for CCPA requests, each subject to permitted extensions), and may need to verify your identity before actioning a request.

 

15. Children’s Privacy

The Toolbox is intended for business professionals aged 18 and over and is not directed at children. We do not knowingly collect personal information from children. If we become aware that we have inadvertently collected such information, we will delete it.

 

16. Data Security

We use reasonable administrative, technical, and organisational measures designed to protect personal information against unauthorised access, loss, misuse, or alteration, including encryption in transit, access controls, and working with reputable service providers. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. Any liability arising from a security incident is subject to the Limitation of Liability clause in the Terms and Conditions.

 

17. Data Breach Notification

In the event of a personal data breach that poses a risk to your rights and freedoms, H2 will notify affected individuals and relevant regulators as required by applicable law, including within 72 hours of becoming aware of a breach where required under GDPR/UK GDPR. H2 maintains an internal incident response plan to support meeting this timeframe.

 

18. Changes to this Policy

We may update this Policy from time to time to reflect changes in our practices or legal requirements. We will post the updated Policy on the Platform with a revised effective date and, for material changes, will make reasonable efforts to notify active Members in advance, consistent with the Terms and Conditions.

H2 Sustainable Hospitality Toolbox Disclaimer

1. Purpose and Scope

This Disclaimer explains the nature of the content, guidance, and advisory support provided through the H2 Sustainable Hospitality Toolbox (the “Toolbox”), and the limits on what it is intended to be relied upon for. It applies to all Content, all AEQUOR Advisory responses, and all advisory sessions provided under Sustainability Framework and Sustainability Partnership, and is incorporated by reference into, and forms part of, the Terms and Conditions (Master Agreement).

 

2. General Nature of Content

The Toolbox is an educational and informational resource that provides general, good-practice guidance developed from Hervé Houdré’s professional experience in luxury hospitality leadership and sustainable hospitality development. It is intended to help hospitality professionals understand sustainability considerations, structure their thinking, and identify practical next steps. It is not a substitute for a site-specific technical assessment, a licensed professional’s stamped or certified opinion, or independent verification against the laws, codes, and standards that apply to a particular property, jurisdiction, or project.

Sustainability standards, technologies, and best practices in the hospitality sector evolve rapidly. While Content is developed from genuine professional experience, H2 does not warrant that any Content is current, complete, or accurate at the time a Member relies on it.

Every hotel, resort, and property is different. Guidance that is appropriate for one property’s climate, building type, ownership structure, market, or regulatory environment may not be appropriate for another. Members are responsible for evaluating whether and how any guidance applies to their specific circumstances.

 

3. Content Development and Production

Content in the Toolbox is developed under the direction, review, and personal approval of Hervé Houdré, drawing on his 30 years of luxury hospitality leadership and 22 years of hands-on sustainability development. H2 may draw on editorial, research, and language-editing support in producing and refining Content, in the same way many professional and publishing organisations do.

The expertise, judgement, and direction reflected in the Content remain Hervé Houdré’s and H2’s own. Every document made available through the Toolbox is reviewed and approved by him before publication.

 

4. Not Professional Advice

Nothing in the Toolbox, including Essentials and Guidelines documents, H2 Prism Briefs, templates, frameworks, roadmaps, and AEQUOR Advisory responses, constitutes:

  • Legal advice
  • Engineering advice
  • Architectural advice
  • Accounting or financial advice
  • Tax advice
  • Environmental compliance advice
  • A regulatory opinion, or a determination of compliance with any law, code, permit, or standard
  • A certification, audit, or assurance opinion of any kind
  • Insurance advice, including as to the adequacy of a Member’s coverage
  • Cybersecurity or data privacy compliance advice

In particular, the Toolbox does not provide advice on fire safety, structural integrity, or hazardous material handling (such as asbestos or refrigerant management) — high-risk technical areas that a sustainability review may touch upon but that require dedicated, qualified expertise.

Members should seek advice from an appropriately qualified and licensed professional — such as a lawyer, licensed engineer, architect, accountant, or certified sustainability auditor — before making decisions with legal, financial, structural, safety, or regulatory consequences.

 

5. AEQUOR Advisory

AEQUOR Advisory responses are structured, good-faith professional guidance based on the H2 AEQUOR method and on the information the Member provides at the time of the question. H2 has no visibility into a Member’s property beyond what is described in the question, and cannot verify the accuracy or completeness of the information provided. Responses should be treated as a starting point for the Member’s own further investigation and professional judgement, not as a final, site-verified answer.

The same applies to advisory sessions provided under Sustainability Framework and to strategic guidance provided under Sustainability Partnership: these draw on Hervé Houdré’s and H2’s professional experience and are provided to inform the Member’s own decision-making, not to replace it.

The usefulness of any guidance depends entirely on the Member providing full, accurate, and non-misleading information. H2 has no duty to investigate or independently verify the facts a Member provides.

 

6. No Guarantee of Outcomes

H2 does not guarantee any particular outcome from using the Toolbox, including but not limited to:

  • Achievement of any certification (including but not limited to LEED, BREEAM, Green Key, or any other local, national, or international sustainability or environmental standard)
  • Any specific return on investment (ROI) or payback period
  • Any specific cost saving
  • Any specific Environmental, Social and Governance (ESG) score or rating
  • Compliance with any specific law, code, or regulation

Any reliance a Member places on Content is at that Member’s sole risk. Outcomes depend on many factors outside H2’s control, including how guidance is implemented, local conditions, third-party contractors and suppliers, and decisions made by the Member’s own organisation.

 

7. Third-Party Standards and Certification Bodies

References in the Toolbox to third-party standards, certification schemes, or regulatory frameworks are provided for general orientation only. H2 is not affiliated with, and does not speak on behalf of, any certification body or standards organisation referenced in the Toolbox, unless expressly stated otherwise. Members should confirm current requirements directly with the relevant body before relying on them.

 

8. No Third-Party Reliance

The Toolbox and its Content are provided for the benefit of the subscribing Member only. No third party — including a Member’s investors, lenders, clients, contractors, or business partners — is entitled to rely on the Toolbox, H2 Prism Briefs, or any other Content, even where a Member chooses to share it with them, and H2 accepts no liability to any such third party.

 

9. No Professional Relationship Beyond Subscription Scope

Use of Sustainability Access or Sustainability Framework does not create an attorney-client, engineer-client, architect-client, or other licensed-professional relationship between H2 and the Member, and does not create a fiduciary duty owed by H2 to the Member. H2 is not acting as an “advisor” or “consultant” in any regulated capacity (such as a licensed engineer, architect, or investment adviser); the relationship is strictly that of a commercial subscription provider and customer. A more defined advisory relationship, with its own scope agreed in writing, arises only under a signed Sustainability Partnership consulting agreement, and even then is limited to the scope set out in that agreement.

 

10. Member Responsibility

Members remain solely responsible for: verifying guidance against applicable local laws, codes, permits, and safety requirements; engaging appropriately licensed professionals for matters requiring their expertise; and making their own final decisions in light of their specific property, ownership structure, and market. H2’s role is to inform and structure that decision-making, not to make the decision or bear responsibility for it.

By using the Toolbox, each Member confirms that they have, or have engaged, the internal or external expertise needed to evaluate whether and how any Content applies to their specific circumstances before acting on it.

 

11. Relationship to Limitation of Liability

This Disclaimer should be read together with the Limitation of Liability and Indemnification clauses in the Terms and Conditions, which further limit H2’s liability arising from use of the Toolbox to the extent permitted by applicable law.

 

12. Survival

The disclaimers and limitations set out in this Disclaimer survive the termination, cancellation, or expiry of a Member’s subscription, and continue to apply to any Content accessed or advice received while the subscription was active.

 

13. Changes to this Disclaimer

H2 may update this Disclaimer from time to time, in the same manner and with the same notice as changes to the Terms and Conditions.

H2 Sustainable Hospitality Toolbox Intellectual Property and Acceptable Use

1. Purpose and Scope

This Intellectual Property & Acceptable Use Policy (“Policy”) explains what is protected in the H2 Sustainable Hospitality Toolbox (the “Toolbox”), what Members may and may not do with it, and how H2 Sustainability Consulting (“H2”, “we”, “us”, or “our”) enforces those limits. It is incorporated by reference into, and forms part of, the Terms and Conditions (Master Agreement) governing the Toolbox.

This Policy consolidates what were originally planned as two separate documents — an Intellectual Property & Acceptable Use Policy and a Copyright & Licensing Policy — into a single policy, so that Members have one clear reference for both what is protected and what use is permitted, rather than two documents that could drift out of alignment over time.

 

2. Ownership of Intellectual Property

All content, materials, methods, and branding made available through the Toolbox are the intellectual property (IP) of H2 or its licensors, and are protected under applicable copyright, trademark, and unfair competition laws. This includes, without limitation:

  • The H2 Sustainable Hospitality Toolbox name, brand, and platform
  • The H2 AEQUOR method and name
  • AEQUOR Advisory
  • Value-Driven Sustainability
  • Guidelines documents
  • Essentials documents
  • H2 Prism Briefs
  • Templates, checklists, frameworks, and roadmaps
  • Graphics, illustrations, diagrams, and videos
  • Any future content, tools, or materials H2 makes available through the Toolbox

(together, the “Content”). Nothing in this Policy or in a Member’s subscription transfers ownership of any Content, trademark, or other IP to the Member. All rights not expressly granted are reserved by H2.

 

3. Licence Granted to Members

Subject to this Policy and an active, paid subscription, H2 grants each Member a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Content for that Member’s own internal professional purposes. This licence terminates automatically on expiry, cancellation, or termination of the Member’s subscription, at which point continued possession or use of downloaded Content is no longer authorised.

 

4. Permitted Use

While a subscription is active, Members may:

  • Download and store Content for their own internal use
  • Print Content for internal, working use (for example, to brief an engineering or operations team)
  • Use Content internally within their own hotel, property, or organisation to inform decisions, policies, and training
  • Discuss and share the substance of Content with colleagues within their own organisation as part of normal internal work
  • Reference and cite the H2 AEQUOR method and Toolbox by name in internal materials, with appropriate attribution to H2

Even for internal use, Members must not remove, obscure, or alter H2’s branding, copyright notices, or attribution on any Content, including when adapting Content into internal presentations, briefings, or training materials (this restriction applies regardless of the Section 5 prohibition on wider redistribution).

Where a Corporate Account has been agreed with H2 covering multiple named users within the same organisation, those named users may each access and use Content under this Section, subject to any user limits set out in that arrangement.

 

5. Prohibited Use

Unless H2 has given prior written consent, Members must not:

  • Redistribute, republish, or share Content outside their own organisation, including with other hotels, consultants, or third parties
  • Resell, sublicense, or otherwise commercialise Content, whether on a standalone basis or bundled with other services
  • Post, upload, or otherwise make Content available on any public website, forum, or social media platform
  • Upload Content to any shared drive, intranet, extranet, SharePoint site, or knowledge-management system accessible beyond their own organisation’s authorised users
  • Use Content to train, fine-tune, prompt, benchmark, or otherwise develop any artificial intelligence (AI) or machine learning model or system (see Section 6)
  • Copy or reproduce Content beyond what is reasonably necessary for permitted internal use under Section 4
  • Create derivative works based on Content, including adapted or rebranded versions of Guidelines, Essentials, templates, or frameworks, for distribution beyond their own organisation
  • Reverse engineer, decompile, or otherwise attempt to extract the underlying structure or source materials of any interactive tool or feature of the Toolbox, including AEQUOR Advisory
  • Use Content to build, or materially assist in building, any product, tool, or advisory service that competes with the Toolbox
  • Remove, obscure, or alter any copyright, trademark, or attribution notice on any Content

 

6. Feedback

If a Member provides suggestions, ideas, or feedback about the Toolbox, H2 may use that feedback to improve the Content and platform without any obligation or compensation to the Member. By submitting feedback, the Member grants H2 a royalty-free, perpetual, irrevocable licence to use it for this purpose.

 

7. Artificial Intelligence and Machine Learning Restrictions

Members must not input, upload, paste, or otherwise submit Content — in whole or in part — into any third-party AI tool, large language model, or machine learning system for the purpose of training, fine-tuning, generating derivative summaries or rewrites intended for redistribution, or building any competing tool, resource, or advisory service. This applies regardless of whether the AI system is public, or a private or enterprise instance operated by the Member’s own organisation — H2’s Content remains protected even where the Member believes the data will not leave their own environment, because the Content is still being used to train or prompt a model that could come to replicate H2’s expertise.

Without limiting the foregoing, Members are expressly prohibited from using Content as a grounding source, knowledge base, or reference for retrieval-augmented generation (RAG) or similar architectures, even where this does not constitute “training” a model in the traditional sense.

This restriction is aimed at protecting H2’s proprietary methods and written work from being absorbed into other systems or repackaged as someone else’s output. It is not intended to prevent a Member from using their own general professional judgement, informed by what they have learned through the Toolbox, in their day-to-day work — H2 cannot and does not seek to restrict a Member’s use of knowledge or understanding gained from the Toolbox, only the reproduction, extraction, or redistribution of the Content itself.

H2 reserves the right to update this Section as AI tools and risks evolve, and will communicate material changes in accordance with the Terms and Conditions.

 

8. Audit Rights

To ensure compliance with this Policy, H2 reserves the right to request, no more than once per calendar year, a written certification signed by an authorised representative of the Member confirming compliance with the restrictions in this Policy, including the prohibitions on unauthorised redistribution, AI training, and use of Content as a grounding source for RAG.

Where H2 has a reasonable, documented suspicion of material misuse (such as unauthorised redistribution or AI training), H2 may, upon ten (10) days’ notice, conduct a limited digital audit of the Member’s internal systems used to store or access the Content, provided such audit is conducted during normal business hours, is proportionate to the suspected misuse, and does not unreasonably disrupt the Member’s operations.

 

9. Trademarks and Branding

“H2 Sustainable Hospitality Toolbox”, “H2 AEQUOR”, “AEQUOR Advisory”, “Value-Driven Sustainability”, and associated logos are unregistered trademarks of H2 (registration intentionally deferred pending business traction). Members may not use these marks, or any confusingly similar name or mark, to imply endorsement, partnership, or affiliation with H2 without prior written consent, including in marketing materials, press releases, or on their own website.

Until registration is confirmed, these marks should be displayed with the ™ symbol rather than ®, since using ® for an unregistered mark can itself create liability. Once counsel confirms which marks are registered, this Section and the Platform should be updated to use ® for those specific marks.

 

10. Third-Party and External Resources

Where the Toolbox references or links to external resources, standards, or third-party materials, those materials remain the property of their respective owners and are subject to their own terms of use. This Policy governs only Content created by or licensed to H2 for the Toolbox.

 

11. Reporting Suspected Misuse

Members and third parties who become aware of suspected unauthorised use of Content — including unauthorised redistribution, resale, or posting online — are encouraged to report it to herve@houdre.com. H2 will review reports in good faith and take appropriate action, which may include the steps described in Section 10.

 

12. Consequences of Violation

A violation of this Policy is a breach of the Terms and Conditions and may result in suspension or termination of the Member’s account without refund, in accordance with the Terms and Conditions, in addition to any other remedy available to H2 at law, including claims for copyright infringement or breach of contract.

H2 may apply Member-identifying markers (such as visible or embedded identifiers) to certain Content for the purpose of tracing the source of any unauthorised distribution. This is a business practice adopted at H2’s discretion and does not limit any other right or remedy available under this Policy or applicable law.

 

13. Relationship to Other Toolbox Policies

This Policy forms part of, and should be read together with, the Terms and Conditions, Subscription Terms, Privacy Policy, and Disclaimer. In the event of a conflict between this Policy and the Terms and Conditions on a given point, the Terms and Conditions govern, as set out in their Order of Precedence clause.

 

14. Changes to this Policy

H2 may update this Policy from time to time, in the same manner and with the same notice as changes to the Terms and Conditions.
